1. Condition of Use

MiniTool Software Ltd. makes the information and products available to you on Website, subject to the following terms and conditions. By accessing Website, you agree to these terms and conditions. If you disagree with any aspect of the Agreement, you do not have our permission to, and you must not, access or use any Content of the Website.

MiniTool Software Ltd. reserves the right to seek all remedies in law and in equity for any violation of these terms and conditions. Any rights not expressly granted herein are reserved.

2. Access Agreement

MiniTool hereby grants you permission to use the Website, provided that:

• You use the Website for personal, noncommercial purpose;
• You will not copy, distribute or modify any part of the Website without the prior written authorization of MiniTool;
• You will not send any unsolicited or unauthorized advertisements, spam, chain letters, etc.;
• You will not transmit any Content which contains software viruses, or other harmful computer code, files or programs;
• You will not disrupt servers or networks connected to the Website;
• You will not use or launch any automated system, including without limitation, "robots", "spiders", and "offline readers" that accesses the Website in a manner that sends more request messages to its servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser;

MiniTool grants the operators of public search engines permission to use spiders to copy materials from the Website for the purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. MiniTool reserves the right to revoke these exceptions either generally or in specific cases.

You agree not to collect any personally identifiable information, including account names or e-mail addresses, from the Website, nor to use the communication systems provided by the Website for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the MiniTool with respect to their User Submissions (as defined below). MiniTool has the right to terminate your access to the Website, in its sole discretion, immediately and with or without cause.

This Website may contain links or references to third party websites over which Website has no influence or control. If you decide to visit any linked website, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements. MiniTool shall not be held liable for the content of such third-party websites and/or links that these may contain.

4. Intellectual Property Rights

The content on the Website, including but not limited to all User Submissions, the text, software, scripts, graphics, photos, sounds, music, videos and interactive features ("Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to MiniTool.

Content on the Website is provided to you "AS IS" for your information and for personal use only. Content may not be used, copied, distributed, transmitted, broadcast, displayed, sold, licensed, reverse engineered, de-compiled, or exploited for any other purposes without MiniTool's prior written consent. MiniTool reserves all rights not expressly granted in and to the Website.

If you download or print a copy of the Content for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with security-related features of the Website or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Website.

Any comments or materials sent to MiniTool Software Ltd., including without limitation feedback, such as questions, comments, suggestions or any related information regarding the Software, Website or any other products, programs or services of MiniTool Software Ltd. ("Feedback"), shall be deemed to be non-confidential. MiniTool Software Ltd. shall have no obligation of any kind with respect to such Feedback and shall be free to reproduce, use, disclose, exhibit, display, transform, create derivative works and distribute the Feedback to others without limitation and shall be free to use any ideas, concepts, know-how or techniques contained in such Feedback for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products incorporating such Feedback.

6. Copyright and Content Policy

MiniTool respects the intellectual property rights of others and expects you to do the same. MiniTool does not permit infringement of intellectual property rights on its platform, and will promptly suspend commercial content from being able to be converted and downloaded by its platform when kindly notified.

If you’re a content creator/owner, a copyright owner or an agent thereof, and would like to disable the possible use of Website to convert your publicly available content(s), please kindly send us a request via e-mail to [email protected] with the following information. The relevant content(s) will be blacklisted in our system within 24 hours.

Use of the MiniTool trademark for commercial purposes without the prior written permission of MiniTool Software Ltd. will constitute trademark infringement and unfair competition in violation of law.

8. Warranty Disclaimer

YOU AGREE THAT YOUR USE OF THE WEBSITE SHALL BE AT YOUR SOLE RISK TO THE FULLEST EXTENT PERMITTED BY LAW, MINITOOL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. MINITOOL MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE WEBSITE'S CONTENT AND ASSUMES NO LIABILITY FOR:

9. Indemnity

You agree to defend, indemnify and hold harmless Website, its affiliates, and their respective officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including but not limited to attorney's fees) arising from:

• Your violation of these Terms & Conditions;
• Your violation of the terms which apply to your User Submission;
• Your violation of any third party right, including but not limited to any copyright, property, publicity or privacy right;

Any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms & Conditions and your use of the Website.

10. Enforcement

You agree that the Website shall be deemed solely based in Canada; and the Website shall be deemed a passive website that does not give rise to personal jurisdiction over Website, either specific or general, in jurisdictions other than the country of Canada. These Terms & Conditions shall be governed by the internal substantive laws of Canada, without respect to its conflict of laws principles. Any claim or dispute between you and MiniTool that arises in whole or in part from the Website or these Terms & Conditions shall be decided exclusively by a federal or state court of competent jurisdiction located in Canada.

If any provision of these Terms & Conditions is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms & Conditions, which shall remain in full force and effect. No waiver of any term of this these Terms & Conditions shall be deemed a further or continuing waiver of such term or any other term, and a party's failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

11. Modification of the Agreement

MiniTool may modify these Terms & Conditions at any time and without notice, and it is your responsibility to review these Terms & Conditions for any changes. Your use of the Website following any amendment of these Terms & Conditions will signify your assent to and acceptance of its revised terms. You and MiniTool agree that any cause of action arising out of or related to the Website must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
